Introduction

Welcome to TorqueNode.

These Terms & Conditions ("Terms") govern your access to and use of the TorqueNode website, APIs, documentation, software, products, and related services (collectively, the "Services") made available through https://torquenode.com.

By creating an account, accessing, subscribing to, purchasing, or using any of the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with these Terms, you must not access or use the Services.

These Terms apply to all users of the Services, including individuals, developers, businesses, organizations, partners, and customers integrating TorqueNode APIs into websites, software, mobile applications, internal systems, or commercial products.

1. Acceptance of Terms

By accessing or using any TorqueNode Services, you agree to comply with these Terms, our Privacy Policy, Refund Policy, and any additional policies or documentation referenced by the Services.

Your continued use of the Services following any modification of these Terms constitutes acceptance of the updated Terms.

2. Scope

These Terms apply to all Services provided by TorqueNode, including but not limited to:

APIs and API responses

Documentation

Developer dashboard

Customer accounts

Subscription plans

Credits and usage-based services

Software, tools, and utilities provided by TorqueNode

Any future services or products made available by TorqueNode

Separate agreements may apply to specific enterprise customers or custom commercial arrangements. Where a separate written agreement exists, that agreement will take precedence over these Terms to the extent of any conflict.

3. Definitions

For the purposes of these Terms:

"TorqueNode", "we", "our", or "us" refers to the TorqueNode platform and the Services it provides.

"Customer" means any individual, company, organization, or other entity accessing or using the Services.

"Services" means all APIs, documentation, websites, dashboards, software, reports, and related products provided by TorqueNode.

"API" means any application programming interface made available by TorqueNode.

"API Response" means any information or data returned by a TorqueNode API.

"Credits" means the usage units allocated to a Customer's account and consumed when accessing eligible Services.

"Documentation" means any guides, examples, technical references, SDKs, or other developer resources published by TorqueNode.

"Report" means any vehicle-related information, document, PDF, summary, or output generated using one or more TorqueNode Services.

4. Eligibility

The Services are available to individuals, businesses, organizations, developers, and other entities.

If you are using the Services on behalf of a company or organization, you represent and warrant that you have the authority to bind that organization to these Terms.

You are responsible for ensuring that your use of the Services complies with all applicable laws and regulations within your jurisdiction.

5. Accounts & Registration

Some Services require a registered TorqueNode account.

When creating an account, you agree to:

Provide accurate, current, and complete information.

Keep your account information updated.

Maintain the confidentiality of your login credentials.

Be responsible for all activity occurring under your account.

You are responsible for maintaining the security of your account and API credentials.

If you believe your account or API key has been lost, compromised, or accessed without authorization, you must notify TorqueNode promptly so appropriate action, including API key rotation or suspension, can be taken.

TorqueNode reserves the right to suspend or terminate accounts that contain false information, violate these Terms, or are used in a manner that threatens the security or integrity of the Services.

6. API Services

TorqueNode provides access to APIs, developer tools, documentation, software, and related services (collectively, the "Services"). The Services are intended to help customers integrate automotive and other supported data into their own applications, websites, software, and business workflows.

Access to Services

Access to the Services is provided through an active TorqueNode account and, where applicable, a valid API key or other authentication credentials.

Access to certain APIs, features, or products may require an active subscription, sufficient credits, or a separate commercial agreement.

Service Availability

TorqueNode strives to provide reliable and uninterrupted access to the Services. However, the Services may occasionally become unavailable due to maintenance, infrastructure upgrades, third-party dependencies, security events, or circumstances beyond our reasonable control.

No Service should be considered permanently available unless explicitly stated in a separate written agreement.

API Versions

TorqueNode may introduce new API versions, update existing endpoints, or deprecate older versions as the platform evolves.

Where reasonably possible, advance notice will be provided before retiring major API versions. Customers are responsible for updating their integrations to supported versions.

Changes to APIs

We reserve the right to modify, improve, add, remove, or replace any feature, endpoint, response structure, documentation, pricing model, or functionality at any time.

Whenever practical, changes that may materially affect existing integrations will be communicated through our documentation, dashboard, or other reasonable communication channels.

API Discontinuation

TorqueNode reserves the right to discontinue any API, endpoint, feature, or Service at any time.

Where commercially reasonable, we will attempt to provide advance notice before permanently discontinuing a Service. This does not apply to emergency security issues, legal requirements, fraud prevention, or circumstances outside our control.

7. License Grant

Subject to these Terms and any applicable subscription or payment requirements, TorqueNode grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Services.

This license exists solely for the purpose of integrating and using the Services in accordance with these Terms.

Nothing contained within these Terms transfers ownership of the Services, APIs, documentation, software, trademarks, or intellectual property to you.

Commercial Use

Unless otherwise prohibited by these Terms or a separate written agreement, customers may use the Services for commercial purposes.

Commercial use includes, but is not limited to:

Building commercial software or SaaS applications.

Integrating the APIs into customer-facing websites or mobile applications.

Displaying API-generated reports to end users.

Generating downloadable reports, including PDF reports.

Selling reports generated through the TorqueNode Services as part of your own products or services.

Commercial use does not grant ownership of the underlying Services, APIs, documentation, or raw data.

8. Permitted Use

Subject to these Terms, customers may:

Integrate the Services into internal business systems.

Build and operate SaaS applications.

Build consumer-facing applications.

Display API responses and generated reports to end users.

Generate downloadable reports, including PDF reports.

Commercially sell reports generated using the Services.

Store API responses and generated reports for use within their own applications and business operations.

Cache API responses where reasonably necessary for application performance, user experience, or operational purposes.

Customers remain responsible for ensuring their use of the Services complies with applicable laws and regulations.

9. Prohibited Use

You agree not to:

Redistribute, sell, sublicense, publish, or expose raw API responses, bulk datasets, or data exports as a standalone product or service.

Share API keys, authentication credentials, or account access outside your organization without prior authorization.

Use automated methods to download, extract, or mirror substantial portions of the Services beyond normal API usage.

Build, power, or operate a competing API service that primarily redistributes or exposes TorqueNode data.

Reverse engineer, decompile, modify, interfere with, or attempt to circumvent the operation or security of the Services.

Use the Services for unlawful, fraudulent, deceptive, or malicious purposes.

Circumvent, disable, or attempt to bypass rate limits, authentication mechanisms, usage controls, or security protections.

Interfere with the operation, availability, or security of the Services or other customers' access to the Services.

Violation of this section may result in temporary suspension, permanent termination of your account, revocation of API access, or other actions deemed necessary to protect the Services and other customers.

10. Commercial Licensing

Subject to an active subscription, applicable fees, and continued compliance with these Terms, TorqueNode grants Customers a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to commercially use the Services within their own products and applications.

Permitted Commercial Use

Customers may use the Services to:

Integrate the Services into commercial software, websites, mobile applications, SaaS platforms, and internal business systems.

Build and operate consumer-facing applications using the Services.

Display API-generated responses, reports, and related information to end users.

Generate downloadable reports, including PDF or similar report formats.

Sell or monetize reports generated through the Services as part of their own products or services.

Store API responses and generated reports for their own operational, application, customer support, analytics, and business purposes.

Customize the presentation, branding, layout, and design of reports generated through the Services, including offering white-label solutions to their customers.

License Limitations

This license permits Customers to use the Services within their own applications and services. It does not transfer ownership of the Services, APIs, documentation, software, trademarks, or underlying data.

Unless expressly authorized in writing by TorqueNode, Customers may not:

Resell, sublicense, lease, rent, or otherwise provide direct access to the Services or APIs as a standalone service.

Redistribute, publish, expose, or sell raw API responses, bulk datasets, or data exports obtained through the Services.

Build, operate, or support an API, data platform, or competing service whose primary purpose is to redistribute or expose TorqueNode data.

Share, publish, or expose API keys, authentication credentials, or account access outside their own organization.

Circumvent subscription plans, credit limits, authentication mechanisms, rate limits, or security controls.

Represent themselves as TorqueNode or imply any partnership, endorsement, or affiliation unless expressly authorized in writing.

Customer Responsibilities

Customers remain solely responsible for:

Their applications and services built using the TorqueNode Services.

The content they display to end users.

Compliance with all applicable laws and regulations.

Obtaining any permissions, notices, or disclosures required for their own products or services.

Protecting API credentials and preventing unauthorized access to their account.

Customers acknowledge that while TorqueNode permits commercial use of API-generated reports, they remain responsible for ensuring their own products, marketing, customer interactions, and business operations comply with all applicable legal, regulatory, and contractual requirements.

TorqueNode reserves the right to revoke, suspend, or terminate the commercial license granted under this section if a Customer violates these Terms or uses the Services in a manner that materially harms TorqueNode, its infrastructure, its partners, or other customers.

11. Data Sources & Accuracy

TorqueNode aggregates and processes information from a variety of commercial, governmental, public, manufacturer, auction, insurance, and other third-party sources to provide unified API responses and reports.

Data available through the Services may include, where applicable:

Commercial data sources

Public records

Government records

Manufacturer information

Auction information

Vehicle specifications

Inspection records

Service and maintenance information

Recall information

Other third-party information made available through our data providers

Because information is obtained from multiple independent sources, availability, coverage, timing, and completeness may vary between vehicles, jurisdictions, and products.

While TorqueNode makes reasonable efforts to provide accurate and up-to-date information, the Services are provided on an "AS IS" and "AS AVAILABLE" basis.

TorqueNode does not warrant or guarantee that any API response or report is complete, accurate, current, uninterrupted, or suitable for any particular purpose.

Customers are responsible for independently evaluating any information before relying upon it for business, financial, legal, regulatory, or purchasing decisions.

The Services are intended to provide informational assistance and should not be considered legal, financial, insurance, mechanical, valuation, or professional advice.

12. Intellectual Property

All Services, APIs, software, documentation, designs, trademarks, branding, logos, website content, response formats, source code, SDKs, and related materials are owned by or licensed to TorqueNode and remain the exclusive intellectual property of TorqueNode or its licensors.

Except for the limited license expressly granted under these Terms, no ownership rights are transferred to Customers.

Customers retain ownership of:

Their own software

Their applications

Their branding

Their customer relationships

Reports they generate and present within their own applications, subject to these Terms.

Customers may not copy, reproduce, distribute, modify, reverse engineer, or create derivative works of TorqueNode software or documentation except where expressly permitted.

Nothing contained within these Terms grants permission to use TorqueNode trademarks, logos, or branding without prior written consent.

13. Usage Limits & Fair Use

Access to the Services may be subject to subscription plans, credits, rate limits, and other usage controls.

Customers are responsible for ensuring sufficient credits are available before making API requests.

Rate limits published within the documentation may be updated from time to time as the platform evolves.

TorqueNode reserves the right to monitor API usage to:

Maintain platform stability

Prevent abuse

Detect fraud

Improve service quality

Enforce these Terms

Excessive, abusive, automated, or malicious usage may result in throttling, temporary suspension, permanent suspension, or termination of access.

Attempts to bypass rate limits, authentication, subscription plans, or usage controls are strictly prohibited.

14. Pricing, Billing & Payments

Certain Services require payment before access is granted.

Pricing is based on the subscription plan or usage package selected by the Customer and may include recurring subscriptions, prepaid credits, usage-based billing, or custom commercial agreements.

Payments are securely processed through Paddle, which acts as the Merchant of Record for applicable purchases.

Customers are responsible for any taxes, duties, levies, or similar governmental charges associated with their purchases, except where collected or remitted by Paddle as required by law.

TorqueNode reserves the right to modify pricing, subscription plans, available packages, credits, and commercial offerings at any time.

Price changes will not affect completed purchases but may apply to future subscriptions, renewals, upgrades, or additional purchases.

Failure to maintain a valid payment method or complete payment may result in suspension or termination of access to paid Services.

15. Refunds & Cancellations

Refunds, cancellations, and payment disputes are governed by our separate Refund Policy, which forms part of these Terms.

Customers are encouraged to review the Refund Policy before purchasing any subscription, credit package, or Service.

Customers may cancel recurring subscriptions at any time through their account or the applicable billing portal. Cancellation will prevent future renewal charges but will not automatically entitle the Customer to a refund for payments already made.

Unless otherwise stated in the applicable subscription or commercial agreement, unused credits, partially used subscriptions, or unused portions of Services are non-refundable, subject to the terms of our Refund Policy and any applicable Paddle policies.

Where required by applicable law or the policies of our Merchant of Record, eligible refund requests will be processed in accordance with those requirements.

16. Support

TorqueNode provides technical support to assist Customers with the integration and use of the Services.

Support is provided on a commercially reasonable basis. While we strive to respond promptly to all inquiries, response times may vary depending on request complexity, support volume, weekends, holidays, and other operational factors.

Support does not include custom software development, consulting services, implementation work, or modifications beyond the standard functionality of the Services unless separately agreed in writing.

17. Service Availability (SLA)

TorqueNode is committed to maintaining reliable and consistent access to the Services.

While no uninterrupted service can be guaranteed, we continuously monitor and maintain our infrastructure to maximize availability and performance.

Planned Maintenance

From time to time, scheduled maintenance may be required to improve, secure, or update the Services. Where reasonably practical, advance notice will be provided for maintenance that may materially impact Customers.

Emergency Maintenance

TorqueNode may perform emergency maintenance without prior notice where necessary to protect the security, stability, integrity, or availability of the Services.

Service Interruptions

Temporary interruptions may occur due to infrastructure failures, third-party provider outages, network issues, software updates, security incidents, or circumstances beyond our reasonable control.

TorqueNode will make commercially reasonable efforts to restore affected Services as quickly as practical.

Nothing in this section guarantees uninterrupted availability or creates a contractual uptime commitment unless expressly agreed in a separate written Service Level Agreement with the Customer.

18. Privacy & Security

TorqueNode is committed to protecting the security and integrity of the Services and customer information.

Our collection, use, storage, and processing of personal information are governed by our Privacy Policy, which forms part of these Terms.

Logging & Monitoring

To operate, maintain, secure, and improve the Services, TorqueNode may collect and store operational information including:

API request and response metadata

API usage statistics

Account activity

IP addresses

Error logs

Authentication events

Performance metrics

Billing and subscription activity

This information is used for service operation, fraud prevention, abuse detection, technical support, analytics, security monitoring, and compliance with these Terms.

Cookies

Our website may use cookies and similar technologies to improve functionality, maintain user sessions, analyze website performance, and enhance the user experience.

You may manage certain cookie preferences through your browser settings; however, disabling cookies may affect certain features of the Services.

Security

TorqueNode implements commercially reasonable administrative, technical, and organizational measures designed to protect customer accounts, API access, and platform infrastructure.

While we take reasonable security precautions, no internet-based service or method of electronic storage can be guaranteed to be completely secure.

Customers remain responsible for maintaining appropriate security practices within their own applications and infrastructure.

19. API Keys & Credentials

Customers are responsible for maintaining the confidentiality and security of all API keys, authentication credentials, passwords, and account access.

API credentials should only be shared with authorized personnel within the Customer's organization and must not be publicly disclosed, embedded in client-side applications, or exposed in publicly accessible repositories.

If a Customer believes an API key or account has been compromised, they must notify TorqueNode as soon as reasonably possible.

TorqueNode may rotate, revoke, suspend, or replace compromised API credentials to protect the Customer, the Services, and other users.

Customers are responsible for all activity performed using their account and API credentials until TorqueNode has been notified of unauthorized access.

20. Suspension & Termination

TorqueNode reserves the right to suspend, restrict, or terminate access to the Services at any time where reasonably necessary, including but not limited to the following circumstances:

Violation of these Terms.

Fraudulent, deceptive, abusive, or malicious activity.

Non-payment or failed payment obligations.

Unauthorized access or security concerns.

Compliance with applicable legal or regulatory requirements.

Protection of the Services, infrastructure, customers, or third-party providers.

Discontinuation or retirement of an API or Service.

Customers may discontinue their use of the Services at any time by cancelling their subscription or closing their account.

Termination of access does not relieve Customers of any outstanding payment obligations incurred before termination.

TorqueNode reserves the right to discontinue, replace, modify, or retire any API, feature, or Service at its discretion.

21. Disclaimers

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TORQUENODE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR RELIABILITY.

TorqueNode relies upon information obtained from multiple commercial, governmental, public, manufacturer, auction, insurance, and other third-party sources. As a result, data availability, completeness, and accuracy may vary.

Customers acknowledge that API responses and reports are informational in nature and should not be relied upon as the sole basis for legal, financial, insurance, regulatory, valuation, purchasing, or other significant decisions.

TorqueNode does not warrant uninterrupted availability of the Services or that the Services will be error-free, uninterrupted, or free from security vulnerabilities.

22. Limitation of Liability

To the maximum extent permitted by applicable law, TorqueNode and its licensors, partners, suppliers, and service providers shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising from or relating to the use of the Services.

This limitation includes, without limitation:

Loss of profits.

Loss of revenue.

Loss of business opportunities.

Business interruption.

Loss or corruption of data.

Loss of goodwill.

Costs of obtaining substitute services.

Decisions made based on API responses or reports.

TorqueNode's total cumulative liability arising from or relating to the Services shall not exceed the total amount paid by the Customer to TorqueNode for the applicable Services during the twelve (12) months immediately preceding the event giving rise to the claim.

Some jurisdictions do not permit certain limitations of liability. In those jurisdictions, the above limitations shall apply only to the maximum extent permitted by applicable law.

23. Indemnification

You agree to defend, indemnify, and hold harmless TorqueNode, its owners, affiliates, licensors, service providers, contractors, employees, and partners from and against any claims, liabilities, damages, losses, costs, expenses, or legal fees arising out of or relating to:

Your use of the Services.

Your violation of these Terms.

Your applications, products, or services built using the Services.

Your violation of any applicable law or regulation.

Any claim made by your customers, users, partners, or other third parties arising from your use of the Services.

Any misuse of API responses, reports, or data generated through the Services.

This indemnification obligation survives the termination of your account and these Terms.

24. Changes to These Terms

TorqueNode reserves the right to modify, update, or replace these Terms at any time.

Where changes are material, we will make reasonable efforts to notify Customers through the website, dashboard, email, or other appropriate communication channels.

The "Last Updated" date at the top of these Terms indicates the most recent revision.

Your continued use of the Services after updated Terms become effective constitutes your acceptance of those changes.

If you do not agree with the updated Terms, you must discontinue use of the Services.

25. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, Refund Policy, and any additional written agreements between TorqueNode and the Customer, constitute the entire agreement regarding the Services and supersede any prior understandings or communications relating to the same subject matter.

Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

Assignment

Customers may not assign or transfer their rights or obligations under these Terms without the prior written consent of TorqueNode.

TorqueNode may assign or transfer these Terms or any related rights and obligations as part of a merger, acquisition, sale of assets, business restructuring, or other corporate transaction.

Force Majeure

TorqueNode shall not be liable for any failure or delay in performing its obligations where such failure results from events beyond its reasonable control, including but not limited to natural disasters, acts of government, war, terrorism, labor disputes, internet outages, cyberattacks, infrastructure failures, power outages, pandemics, or failures of third-party service providers.

Waiver

Failure by TorqueNode to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

No waiver shall be effective unless made in writing.

26. Export Control & Sanctions

Customers agree not to access or use the Services in violation of any applicable export control, trade restriction, sanctions, or similar laws and regulations.

Customers are solely responsible for ensuring that their use of the Services complies with all applicable laws within the jurisdictions in which they operate.

TorqueNode reserves the right to restrict, suspend, or terminate access where required to comply with applicable legal obligations or to protect the Services.
